US Justice Department sues to block HPE’s $14 billion Juniper buyout

This marks the Trump administration's first significant challenge to a corporate merger, tackling the rising trend of consolidation in the tech sector

In a surprising move, the US Justice Department has filed a lawsuit to block Hewlett Packard Enterprise’s (HPE) $14 billion acquisition of Juniper Networks. This marks the first significant action by the Trump administration's Justice Department against a corporate merger and challenges the growing trend of consolidation in the tech industry.

Competition concerns and market consolidation

The lawsuit argues that the merger would severely reduce competition in the US market for wireless local area network (WLAN) products and services, where HPE and Juniper are the second- and third-largest players. The department claims that allowing the acquisition to proceed would give the combined company control over more than 70% of the WLAN market, leaving US businesses with limited options and further solidifying an already concentrated industry. Cisco Systems, the market leader, would remain the largest player but would face significantly reduced competition.

The Justice Department’s complaint paints a picture of a desperate HPE, struggling to compete with Juniper’s rise. According to the suit, HPE faced mounting pressure from Juniper’s competitive offerings, prompting the company to lower prices and increase its innovation efforts. Rather than continuing the competition, HPE opted to purchase Juniper in a bid to eliminate its rival.

Unexpected move under new administration

This lawsuit comes as a surprise given the expectation that the Trump administration would take a softer approach to antitrust enforcement compared to the Biden era. When HPE announced its plans to acquire Juniper for $40 per share in 2024, the deal was seen as a strategic move to expand HPE’s networking business. However, the Justice Department’s intervention highlights the administration’s ongoing concern over the implications of such consolidations in critical technology markets.
