US company Global Payments has entered into a landmark agreement to acquire leading payment technology firm Worldpay in a transaction valued at $22.7 billion. The deal, struck with private equity firm GTCR and fintech giant FIS, marks a significant move to consolidate and streamline Global Payments’ focus on merchant services.
In a concurrent arrangement, Global Payments will sell its Issuer Solutions unit to FIS for $13.5 billion. The twin transactions are set to reshape the company’s strategic direction, positioning it as a dedicated merchant solutions provider with expanded global capabilities.
The acquisition of Worldpay will bolster Global Payments’ international footprint, combining advanced payment, commerce, and software solutions to support over six million merchants. Together, the companies will process nearly 94 billion transactions annually, with a payment volume of $3.7 trillion across more than 175 countries.
“This is a transformational step that enhances our ability to serve merchants worldwide with innovative, scalable solutions,” said Cameron Bready, CEO of Global Payments. “It simplifies our structure and strengthens our long-term growth trajectory.”
FIS, which had retained a minority stake in Worldpay after partially divesting the business to GTCR in 2023, is expected to receive $6.6 billion in pre-tax value from the sale. The Issuer Solutions acquisition adds advanced credit processing, fraud management, and loyalty offerings to FIS’ extensive portfolio in payments, banking services, and automation.
Stephanie Ferris, CEO of FIS, noted, “Issuer Solutions is a strategic fit that enhances our capabilities and deepens relationships with financial institutions and corporate clients alike.”
Both deals are subject to regulatory approvals and are projected to close in the first half of 2026. Industry analysts view the dual transactions as a pivotal realignment within the competitive global payments ecosystem.
