Amphenol has announced a definitive agreement to acquire the connectivity and cable solutions (CCS) business of CommScope for $10.5 billion in an all-cash deal, marking its largest acquisition to date. The move is expected to significantly enhance Amphenol’s broadband and infrastructure portfolio amid growing global demand for high-speed connectivity and 5G deployment.
Shares of CommScope soared by over 40% in pre-market trading following the announcement, while Amphenol’s stock also saw modest gains, signalling investor optimism around the strategic implications of the deal.
Amphenol expands connectivity portfolio
Based in Connecticut, Amphenol specializes in electronic and fiber-optic connectors and interconnect systems. This acquisition will enable the company to diversify deeper into building infrastructure and broadband network solutions, positioning it to address increasing data consumption and network expansion needs across enterprise, broadband, and wireless verticals.
The CCS unit being acquired by Amphenol includes a wide range of products that support various network types and is a key supplier of cabling and connectivity solutions. The acquisition follows Amphenol’s earlier purchase of CommScope’s Andrew business and a previous $2.1 billion deal in 2024 for its outdoor wireless network and distributed antenna system operations.
CommScope refocuses on core business
For CommScope, the divestiture is part of a broader strategy to simplify its business and reduce its considerable debt burden, which stood at approximately $9.4 billion at the end of 2024. The company has been actively restructuring its portfolio to regain financial stability following challenges stemming from pandemic-era disruptions and a history of leveraged acquisitions.
Post-transaction, CommScope will retain its access network solutions division and select elements of its networking and security business. The company emphasized that this move reflects a sharpened focus on core areas while reinforcing its financial position.
The transaction, subject to regulatory approvals and customary closing conditions, is anticipated to be finalized in the first half of 2026. Amphenol expects the deal to be accretive to its earnings in the first full year after closing.
